Responsibilities of a Dormant Company

  1. You must let HMRC know that your company is dormant within 3 months of forming your company. HMRC will automatically be notified when your company is formed and will send you your Company Tax Reference number within 2 weeks of forming your company. Once you have received this unique Company Tax Reference number, you will need to inform HMRC that your company will not be actively trading.
  2. You do not need to inform Companies House until you submit your first Dormant Company accounts.
  3. You must not enter into any significant accounting transactions in the financial year in which you claim to be a Dormant Company

Common transactions which will cause you to lose your Dormant Company status
  • Any form of income
  • Any bank charges
  • Any interest earned
  • Any trading expenses

These are significant transactions which will cause you to lose your dormant company status, in this case, you will need to submit normal Company Accounts.

Which types of transactions are not considered to be Significant?
  • These transactions are accepted as insignificant transactions, so you will not lose your Dormant Company status if you engage in any of the following:

  • Payment of a civil penalty for late filing of accounts
  • If you incur any penalties from Companies House or HMRC for late filings on your Company, the payment of these penalties will not lead to the loss of your Dormant Company status.

  • Fees paid to Companies House
  • For example Companies House Administration Fees for submission of your Annual Confirmation Statement. The payment of such fees will not cause you to lose your Dormant Company status.

  • Payment for shares by the subscribers to the memorandum of association
  • The money received by the company from the shareholders or members will not be considered as a significant transaction and will not cause you to lose your Dormant Company status.
