A confirmation statement (previously known as the Annual Return) is a mandatory Company Filing which every company needs to submit to Companies House at least once every 12 months. The purpose of the Confirmation statement is really to be a confirmation that the company is active and that all the information held about the company is up to date.

When is my Confirmation statement due?
For a new company, it is exactly 12 months after the date you formed your company.
If you have previously filed a confirmation statement for the company, your next confirmation statement will be due 12 months following the day after the last confirmation statement was submitted
What information will you need to add a director?
- Date of appointment of the director
- Full name of the new director. (and any former names used in the last 20 years)
- Director’s Nationality
- Director’s full Date of birth
- Director’s Occupation
- Director’s Service address. (this address will be on public record)
What details does a Confirmation Statement confirm?
If there are or are not changes to the company’s directors, shareholders, People with Significant control, Share Capital, Company registered address, changes in your SIC codes – these would need to be reported in the Confirmation statement
What happens if I do not submit my Confirmation statement?
As mentioned, the Confirmation Statement is a mandatory requirement for every company in the UK. If you do not submit a Confirmation Statement within 14 days of its due date, the offices could be prosecuted and it will be treated as a Criminal Offence with fines of up to £5000 and your company could potentially be struck off the register.
Can I submit more than one Confirmation Statement in a year?
Yes. You can submit any number of Confirmation statements in a year, but no more than 1 per day. You should remember that if you file more than more Confirmation statement per year, the date that your next confirmation statement is due will be based on the last Confirmation Statement that you submitted.
How will I know if my Confirmation Statement has been accepted by Companies House?
