Effective from 1 February 2026

Important Update for New Company Formations

Companies House has announced an increase to its statutory incorporation fees, which will apply to all new company incorporations registered on or after 1 February 2026.

This change affects both online and paper applications and is mandatory across the UK. If you are planning to form a limited company, it is important to understand how this update may impact your total incorporation cost.

What Is Changing?

From 1 February 2026, Companies House will apply a new increased incorporation fee to all companies that are officially incorporated on or after this date.

Key Point to Note

The applicable fee is determined by the date the company is incorporated, not the date the application is submitted.

This means:

  • Applications submitted before 1 February 2026
  • But approved and incorporated on or after 1 February 2026

will still be subject to the increased fee

Additional £50 Fee for Companies Incorporated After 1 February 2026

Any company that is formed on or after 1 February 2026 will automatically incur an additional £50 Companies House fee, regardless of when the application was originally submitted.

This additional cost is a statutory charge imposed by Companies House and is not optional or discretionary.

How This Affects Your Incorporation

If you are planning to incorporate close to the end of January 2026, you should be aware that:

  • Submission before 1 February 2026 does not guarantee the lower fee
  • Delays in processing or approval may result in incorporation after the cut-off date
  • Once incorporated on or after 1 February 2026, the higher fee will apply automatically

To avoid unexpected costs, early planning and submission is strongly recommended.

Frequently Asked Questions (FAQs)

When do the new Companies House incorporation fees take effect?

The updated Companies House incorporation fees apply to all companies incorporated on or after 1 February 2026, regardless of when the application was submitted.

If I submit my application before 1 February 2026, will I still pay the old fee?

Not necessarily. The fee is based on the incorporation date, not the submission date.
If your company is incorporated on or after 1 February 2026, the new fee will apply, even if your application was submitted earlier.

What is the additional £50 fee?

The additional £50 is a statutory Companies House fee that applies to all new companies incorporated on or after 1 February 2026. This charge is set by Companies House and is mandatory.

Is the £50 fee charged by you or by Companies House?

The £50 is charged by Companies House, not by us. We pass this fee on at cost, exactly as required, with no markup.

Can the additional £50 fee be avoided?

No. Once a company is incorporated on or after 1 February 2026, the increased fee automatically applies and cannot be waived, refunded, or reduced.
